Draft for legal review. Confirm Auxo's legal entity, governing law, and venue before publishing. These Website Terms intentionally do not replace the customer MSA.

1. Agreement to these terms

These Website Terms ("Terms") govern access to and use of auxohealth.co and other public web pages that link to these Terms (the "Site"). The Site is provided by Auxo Health, Co. ("Auxo," "we," "us," or "our"). By accessing the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you and Auxo enter into an order form, pilot agreement, Master Services Agreement, or other signed contract, that contract governs the applicable Services and controls over these Terms if there is a conflict.

2. Permitted use

You may use the Site for lawful business purposes, including learning about Auxo, requesting a demonstration, and contacting us. You may not:

  • use the Site in violation of law or another person's rights;
  • attempt to gain unauthorized access to the Site, accounts, systems, or networks;
  • probe, scan, or test vulnerabilities without written authorization;
  • interfere with the Site or impose an unreasonable load on it;
  • introduce malicious code or use the Site to distribute harmful content;
  • scrape, harvest, or use automated means to extract Site content except as permitted by standard search-engine protocols;
  • reverse engineer or attempt to derive source code from Site software, except where applicable law does not permit this restriction;
  • misrepresent your identity, affiliation, or authority; or
  • use Auxo names, marks, or content to imply endorsement without written permission.

We may suspend or block access to protect the Site, comply with law, or address a violation of these Terms.

3. Healthcare and AI information

The public Site provides general information about healthcare operations technology. It does not provide medical, legal, coding, billing, reimbursement, or other professional advice. Nothing on the Site creates a clinician-patient relationship or guarantees a payer, clinical, financial, or operational outcome.

Do not submit PHI, medical records, patient details, passwords, or other sensitive information through a public Site form or ordinary email. PHI may be submitted only through a production environment authorized by an Auxo customer and governed by an applicable Business Associate Agreement.

Examples, interface demonstrations, and AI outputs shown on the Site are illustrative. Actual product functionality depends on configuration, customer systems, data quality, authorized integrations, and the governing customer agreement.

4. Intellectual property

The Site and its software, design, text, graphics, logos, photographs, video, and other content are owned by Auxo or its licensors and are protected by intellectual-property laws. Subject to these Terms, Auxo grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for your internal business evaluation.

You may not reproduce, modify, distribute, sell, license, publicly display, or create derivative works from Site content without prior written permission, except for reasonable printing or sharing of unmodified legal documents and product information for internal evaluation.

Feedback

If you voluntarily provide feedback about the Site or Services, you grant Auxo a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or obligation, provided Auxo does not identify you publicly without permission.

5. Third-party sites and services

The Site may link to third-party websites or services. Auxo does not control and is not responsible for their content, availability, security, or privacy practices. A link does not imply endorsement. Your use of a third-party service is governed by that third party's terms.

6. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." AUXO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Auxo does not warrant that Site information is complete, current, or suitable for a particular purpose. We may correct errors and change or discontinue any part of the Site at any time.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUXO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUXO'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

8. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Auxo and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, and expenses, including reasonable legal fees, arising from your unlawful use of the Site or material violation of these Terms.

9. General terms

These Terms are governed by the laws of the State to be confirmed, without regard to conflict-of-law principles. Any dispute concerning these Terms or the Site will be brought exclusively in the state or federal courts located in County and State to be confirmed, and each party consents to their jurisdiction.

These Terms, together with the Privacy Policy, are the entire agreement concerning the public Site. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. Auxo may assign them in connection with a merger, reorganization, financing, or sale of assets.

10. Changes

We may update these Terms by posting a revised version and changing the effective date. Material changes will apply prospectively. Continued use of the Site after an update becomes effective constitutes acceptance of the revised Terms.
